Terms and conditions for ICAA Network members

The Organization has joined the ICAA Network, demonstrating its commitment to providing innovative wellness and engagement opportunities for its residents, members, and staff.

The following terms and conditions will apply to the Organizations participating and may change from time to time.

  1. Organizations Commitment: The Organization and its participating location(s) commit to hosting one or more partners from the ICAA Network, 2-4 times a month, 2-4 hours at a time, for a minimum period of three months. The goal of this partnership is to bring valuable programs and experiences to the community, fostering growth and connection among participants. The specific schedule for network partner visits will be determined collaboratively by the Organization, participating location, ICAA, and the partner.
  2. Staff Assistance: The Organization and its participating location(s) agree to provide its staff's assistance and support to ensure the smooth execution of the selected partner's program. This includes offering logistical support and coordinating the delivery of partner activities to create a seamless and enjoyable experience for all participants.
  3. Marketing and Promotion: The Organization and its participating location(s) actively commits to participating in marketing and promoting the partner's program. Utilizing its current communication channels and resources, the participating location(s) will help promote the program and encourage participation from its community or center. The dedication of the Organization and its participating location(s) directly impacts the success of the partner's program and contributes to the overall experience of residents, members, and staff.
  4. Compliance: Organization and its participating location(s) agrees to uphold the highest ethical standards and abide by the ICAA Code of Conduct throughout the duration of the partnership. Adherence to these standards is essential for maintaining the integrity and reputation of the ICAA Network.
  5. Monthly Checklist: At the end of each month, the participating location(s) shall provide the ICAA Network with a short monthly checklist of completed items related to the partner's program. This checklist serves as verification of the Organization and its participating location(s) commitment and activities, ensuring transparency and facilitating timely payments.
  6. Partner Payment: Partners will pay a predetermined fee for programs conducted at each of the Organizations participating location(s), based on the total number of residents (see fee schedule on Appendix A). Both parties agree to a minimum 3-month co-marketing program, ensuring a mutually beneficial collaboration. The financial aspects will be handled by the ICAA, ensuring a streamlined process for both parties. The ICAA Network will make payments to the Organization within 30 days of receiving corporate partner payment and the submission of the participating location(s) monthly checklist.
  7. No Onsite Product Sales: Partners are prohibited from selling any products onsite at the Organizations participating location(s). However, optional activities, such as prize drawings, may be conducted for voluntary participation, enhancing the engagement and experience of residents, members, and staff.
  8. Right of Refusal and Termination: The Organization has the final right of refusal on any or all selected partners. The Parties acknowledge and respect the Organizations autonomy and decision-making process. If, at any time, the Organization wishes to terminate the partnership, a written notice provided 30 days in advance is all that is needed.
  9. Hold Harmless Clause: The Organization and its participating location(s) agrees to indemnify, defend, and hold harmless the International Council on Active Aging (ICAA Network) and its directors, officers, employees, agents, and affiliates (collectively referred to as the "Indemnified Parties") from and against any and all claims, suits, actions, liabilities, losses, damages, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or relating to any act or omission by the Organization and its participating location(s), its staff, or any third party engaged by the Organization and or its participating location(s) in connection with the partner's program, except to the extent such claims arise from the willful misconduct or gross negligence of the ICAA.
  10. Confidentiality Obligations: The Organization and its participating location(s) acknowledge that it may have access to confidential information related to the financial aspects, fee structures, and contractual arrangements between the ICAA and its network partners. The Organization and its participating location(s) agree to treat all such information as strictly confidential and undertakes not to disclose, directly or indirectly, any confidential information to any third party without the prior written consent of the ICAA, except as required by law.
  11. Exclusivity of Partnership: The Organization and its participating location(s) agree not to engage in any direct sponsorship or partnership agreements with the network partners without the involvement and coordination of the ICAA. All potential network sponsorships or partnerships should be directed to the ICAA, who will facilitate and oversee such discussions to protect the interests and relationships established within the ICAA Network.
  12. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Province of British Columbia, Canada, without regard to conflicts of law principles.
  13. Entire Agreement: This Agreement constitutes the entire understanding and agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.
